Workforce Safety Academy Terms & Conditions
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Workforce Safety Academy. By accessing or using the Platform, you represent that:
- You are at least eighteen (18) years of age or are accessing the Platform under the supervision of a parent, guardian, or authorized employer.
- You have the legal authority to enter into this agreement.
- If you are using the Platform on behalf of a company, organization, or governmental entity, you represent that you have authority to bind that organization to these Terms.
- You agree to comply with all applicable federal, state, and local laws while using the Platform.
We reserve the right to modify these Terms at any time. Material changes will become effective upon posting to the Platform or upon notification to registered users. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
2. Definitions
- Account means the registered user profile used to access the Platform.
- Administrator means an individual authorized by an organization to manage user accounts, subscriptions, enrollments, reporting, or other administrative functions.
- Content means all text, graphics, videos, images, audio recordings, presentations, manuals, templates, policies, quizzes, assessments, downloadable resources, software, logos, trademarks, and other materials available through the Platform.
- Course means any online learning module, training program, learning path, webinar, video, assessment, or educational offering provided through Workforce Safety Academy.
- Employer means the company, organization, governmental agency, or other entity purchasing or providing access to the Platform for its employees or representatives.
- Instructor means Workforce Safety Academy personnel or independent subject matter experts who develop, present, or contribute educational content.
- Organization Account means an account purchased or managed by an employer for multiple authorized users.
- Partner Content means educational materials developed or provided by independent instructors, partner organizations, consultants, or subject matter experts and made available through the Platform.
- Platform means the Workforce Safety Academy website, learning management system, mobile functionality, downloadable resources, and all related online services.
- Services means access to the Platform, Courses, educational resources, reporting tools, subscriptions, and related offerings.
- User, you, or your means any individual or organization accessing or using the Platform.
3. Eligibility
The Platform is intended primarily for business, governmental, educational, and professional use. To use the Platform, you must:
- Be at least eighteen (18) years of age, or access the Platform under the supervision of a parent, guardian, employer, or authorized representative.
- Provide accurate and complete registration information.
- Maintain current account information.
- Use the Platform only for lawful purposes.
We reserve the right to refuse service, suspend access, or terminate accounts that violate these Terms or applicable law.
4. User Accounts
Certain portions of the Platform require creation of an Account.
You agree to:
- Provide accurate and complete information.
- Maintain the confidentiality of your login credentials.
- Notify Workforce Safety Academy promptly of any unauthorized use of your Account.
- Accept responsibility for all activity occurring under your Account unless unauthorized access resulted directly from our negligence.
Unless expressly authorized under your subscription plan, Accounts are intended for a single authorized user and may not be shared, transferred, sold, or assigned.
Organizations purchasing multiple-user subscriptions are responsible for ensuring that access is limited to authorized employees or representatives.
We reserve the right to suspend or terminate Accounts that:
- Violate these Terms;
- Are used fraudulently or unlawfully;
- Share login credentials without authorization;
- Attempt to circumvent subscription limits or licensing restrictions; or
- Otherwise interfere with the security or operation of the Platform.
5. Subscription Plans, Payments, and Renewals
Access to certain Courses or Services requires payment of applicable subscription or licensing fees. Subscription pricing, billing frequency, and included Services are identified at the time of purchase.
Unless otherwise stated in a written agreement, subscriptions automatically renew at the end of each billing period until canceled.
By purchasing a subscription, you authorize Workforce Safety Academy or its designated payment processor to charge your selected payment method for all applicable subscription fees, taxes, and authorized charges.
You agree to maintain valid payment information throughout your subscription. If payment cannot be processed, we may:
- Suspend access to the Platform;
- Restrict access to Courses or administrative features;
- Retry payment using the authorized payment method; or
- Terminate the subscription if payment remains outstanding.
Except where required by law or expressly stated in a written agreement, subscription fees are non-refundable.
Organizations purchasing enterprise licenses or custom training solutions may be subject to separate written agreements that supplement or supersede portions of these Terms.
6. License to Use the Platform
Subject to your compliance with these Terms and payment of all applicable fees, Workforce Safety Academy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business training purposes.
This license does not transfer ownership of any Content or intellectual property. Except as expressly permitted in writing by Workforce Safety Academy, you may not:
- Copy, reproduce, modify, translate, or create derivative works from any Content.
- Distribute, publish, sell, sublicense, lease, rent, or otherwise transfer access to any Course or Content.
- Record, photograph, screen capture, livestream, or otherwise reproduce any video, webinar, presentation, or training session.
- Upload Platform Content to another learning management system, website, cloud storage platform, or internal training portal.
- Share login credentials or allow unauthorized individuals to access your Account.
- Use the Platform to develop or compete with Workforce Safety Academy products or services.
- Use any Content to train, fine-tune, or develop artificial intelligence, machine learning models, or automated systems without our prior written consent.
Access to the Platform may be suspended or terminated immediately for violations of this Section.
7. Intellectual Property
All Content available through the Platform, including but not limited to videos, presentations, policies, templates, manuals, quizzes, assessments, graphics, photographs, logos, trademarks, software, course structure, learning paths, downloadable resources, and written materials, is owned by or licensed to Workforce Safety Academy and is protected by United States copyright, trademark, and other applicable intellectual property laws.
Certain Courses may include content developed by independent instructors, partner organizations, or subject matter experts. Unless otherwise stated, all such Partner Content remains protected by applicable intellectual property laws and may not be copied, reproduced, distributed, modified, or reused without the written permission of the applicable rights holder.
Downloading or printing materials made available through the Platform does not transfer ownership or intellectual property rights.
No license is granted except as expressly stated in these Terms.
8. Training Content, Certificates, and Educational Purpose
The Platform provides educational and professional development resources designed to improve workplace knowledge, awareness, and preparedness. Unless expressly stated otherwise in writing:
- Completion of a Course does not constitute professional certification, state licensure, OSHA certification, medical certification, or legal qualification.
- Certificates of completion indicate only that a User has completed the applicable Course requirements established by Workforce Safety Academy.
- Completion of training does not guarantee competency, proficiency, or the ability to safely perform any task or respond appropriately in every situation.
- Employers remain responsible for determining whether additional training, practical demonstrations, competency evaluations, certifications, or regulatory requirements apply to their employees.
Training content is intended to supplement, not replace, hands-on instruction, employer-specific procedures, regulatory requirements, professional judgment, or legally required workplace training.
Because workplace hazards, equipment, regulations, and emergency situations vary significantly, Users should always follow their employer's policies, applicable laws, manufacturer instructions, and the direction of qualified supervisors or emergency personnel.
9. Partner Content and Independent Subject Matter Experts
Workforce Safety Academy collaborates with independent instructors, consultants, emergency responders, healthcare professionals, ergonomists, industry experts, and other qualified subject matter experts to develop and deliver educational content. Unless expressly stated otherwise:
- Independent instructors are not employees of Workforce Safety Academy.
- Opinions expressed by instructors are provided for educational purposes and do not necessarily represent the official views of Workforce Safety Academy.
- Workforce Safety Academy does not guarantee the future availability of any specific instructor, Course, webinar, or Partner Content.
- Courses may be updated, revised, expanded, replaced, or discontinued at any time to improve educational quality or reflect changes in regulations, standards, technology, or industry best practices.
While Workforce Safety Academy makes reasonable efforts to provide accurate, current, and high-quality educational materials, no representation or warranty is made that all Content will remain complete, current, or applicable to every workplace or circumstance.
10. Employer and User Responsibilities
Workforce Safety Academy provides educational resources only. Each Employer and User remains solely responsible for complying with all applicable laws, regulations, standards, and workplace requirements. Employers are responsible for, including but not limited to:
- Maintaining compliance with applicable federal, state, provincial, and local regulations.
- Conducting required hazard assessments.
- Developing and implementing workplace-specific policies and procedures.
- Providing appropriate personal protective equipment.
- Evaluating employee competency.
- Supervising employees.
- Maintaining emergency action plans and response procedures.
- Performing inspections, audits, and corrective actions.
- Maintaining required documentation and training records.
- Determining whether additional site-specific, hands-on, or regulatory training is required.
Users are responsible for:
- Following employer policies and procedures.
- Using sound professional judgment.
- Following manufacturer instructions for equipment and machinery.
- Reporting hazards, incidents, and unsafe conditions in accordance with employer requirements.
- Seeking clarification whenever training materials differ from workplace procedures or regulatory requirements.
Nothing contained within the Platform shall be interpreted as relieving an Employer or User of their legal responsibilities under applicable occupational safety, environmental, employment, healthcare, or other regulatory requirements.Workforce Safety Academy makes no representation or guarantee that completion of any Course, learning path, or training program alone will result in regulatory compliance, prevent injuries, eliminate hazards, or satisfy an Employer's legal obligations.
11. Disclaimers
The Platform and all Content are provided solely for educational and informational purposes. Workforce Safety Academy is designed to support workplace learning and professional development and is not intended to replace employer-specific training, regulatory requirements, practical instruction, professional judgment, or competent supervision. Users are responsible for determining whether the information provided is appropriate for their specific workplace, equipment, hazards, employees, and operational environment.
11.2 No Legal, Medical, Engineering, or Professional Advice
Unless expressly stated otherwise in writing, the Content provided through the platform does not constitute:
- Legal advice;
- Medical advice or medical treatment;
- Engineering or design services;
- Occupational health services;
- Regulatory consulting;
- Professional certification; or
- Any other licensed professional service.
Users should consult qualified professionals whenever legal, medical, engineering, regulatory, or other professional advice is required.
11.3 OSHA and Regulatory Compliance
Training provided through Workforce Safety Academy is intended to supplement an organization's existing safety and health programs. Completion of any Course does not, by itself:
- Satisfy applicable OSHA or other regulatory training requirements;
- Guarantee compliance with federal, state, provincial, or local regulations;
- Replace employer-specific policies, procedures, or required hands-on training; or
- Eliminate an Employer's legal responsibilities.
Employers remain solely responsible for maintaining compliance with all applicable laws and regulations.
11.4 Emergency Response and Safety Training
Emergency response training is intended to improve preparedness and decision-making. However, every workplace, emergency, employee, and circumstance is unique.Workforce Safety Academy makes no representation or warranty that completion of any Course will:
- Prevent injuries or fatalities;
- Eliminate workplace hazards;
- Guarantee successful emergency response;
- Prevent OSHA citations or regulatory enforcement actions;
- Prevent property damage; or
- Produce any specific safety, operational, financial, or legal outcome.
11.5 Accuracy of Information
We strive to provide accurate, current, and practical educational materials. However, laws, regulations, consensus standards, technologies, equipment, and industry best practices continually evolve. Accordingly, Workforce Safety Academy does not warrant that all Content will always be complete, current, or applicable to every workplace or circumstance. Users are responsible for verifying that training materials remain appropriate for their intended use.
12. Website Availability
We make reasonable efforts to provide continuous access to the Platform. However, uninterrupted access cannot be guaranteed. The Platform may occasionally be unavailable due to:
- Scheduled maintenance;
- Software updates;
- Internet or telecommunications failures;
- Cloud service interruptions;
- Cybersecurity incidents;
- Equipment failures;
- Natural disasters;
- Government actions; or
- Other events beyond our reasonable control.
Workforce Safety Academy shall not be liable for temporary interruptions in service resulting from such events.
We reserve the right to modify, suspend, discontinue, or improve any portion of the Platform at any time without prior notice.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Workforce Safety Academy, Hughes Safety Compliance & Sustainability Solutions, LLC, and each of their respective owners, officers, employees, instructors, contractors, licensors, affiliates, business partners, independent subject matter experts, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising from or related to:
- Use of the Platform;
- Inability to access the Platform;
- Reliance upon any Course or Content;
- Business interruption;
- Lost profits or revenue;
- Lost business opportunities;
- Loss of goodwill;
- Loss of productivity;
- Loss of data; or
- Any workplace incident, injury, illness, fatality, property damage, regulatory action, or legal claim arising from the actions or omissions of any Employer or User.
To the maximum extent permitted by law, the total aggregate liability of Workforce Safety Academy arising out of any claim related to the Platform or Services shall not exceed the total amount actually paid by the claimant to Workforce Safety Academy for the applicable subscription or Services during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing contained in these Terms excludes liability that cannot legally be excluded under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Workforce Safety Academy, Hughes Safety Compliance & Sustainability Solutions, LLC, and their respective owners, officers, employees, contractors, instructors, licensors, affiliates, independent subject matter experts, business partners, successors, and assigns from and against any claims, demands, actions, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your use of the Platform;
- Your violation of these Terms;
- Your violation of applicable law or regulation;
- Your misuse of any Course or Content;
- Your infringement of another person's intellectual property or other legal rights;
- Your negligence or misconduct; or
- Any claim arising from workplace decisions, policies, procedures, training implementation, supervision, regulatory compliance, or emergency response for which you or your Employer are responsible.
The obligations contained in this Section shall survive termination of these Terms.
15. Suspension and Termination
Workforce Safety Academy reserves the right to suspend, restrict, or terminate access to the Platform at any time if we reasonably believe a User has:
- Violated these Terms;
- Shared account credentials without authorization;
- Failed to pay applicable fees;
- Infringed our intellectual property rights;
- Engaged in fraudulent, unlawful, abusive, or disruptive conduct;
- Attempted unauthorized access to the Platform; or
- Otherwise acted in a manner that could harm Workforce Safety Academy, its Users, instructors, partners, or reputation.
Termination of access does not relieve any User or Employer of obligations incurred prior to termination, including payment obligations or restrictions relating to intellectual property, confidentiality, indemnification, or limitation of liability.
Sections intended by their nature to survive termination shall remain in full force and effect following the termination or expiration of these Terms.
16. Privacy and Data Protection
Your use of the Platform is also governed by the Workforce Safety Academy Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you acknowledge that Workforce Safety Academy may collect, use, store, process, and disclose personal information as described in the Privacy Policy.
We implement reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.
Organizations providing employee information for account creation represent that they have the authority to provide such information and to authorize Workforce Safety Academy to process that information for purposes of providing the Services.
17. Changes to the Platform and Terms
Workforce Safety Academy continually improves and updates the Platform. Accordingly, we reserve the right to:
- Modify, update, or improve Courses and Content;
- Add or remove features or functionality;
- Introduce new Services or subscription offerings;
- Discontinue Courses or educational materials;
- Modify pricing for future subscription periods; and
- Revise these Terms as necessary.
Material changes to these Terms will become effective upon posting to the Platform or upon other reasonable notice to Users.
Continued use of the Platform following the effective date of revised Terms constitutes acceptance of those changes.
18. Governing Law and Jurisdictions
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or relating to these Terms or the use of the Platform shall be brought exclusively in the state or federal courts located within the State of North Carolina
Each party irrevocably submits to the personal jurisdiction of those courts and waives any objection based upon improper venue or forum non conveniens.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable written subscription or service agreement, constitute the entire agreement between Workforce Safety Academy and the User regarding the Platform and supersede all prior or contemporaneous communications, understandings, or agreements relating to the subject matter.
19.2 No Waiver
Failure by Workforce Safety Academy to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
19.3 Assignment
Users may not assign or transfer any rights or obligations under these Terms without the prior written consent of Workforce Safety Academy.
Workforce Safety Academy may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, corporate reorganization, or similar business transaction.
19.4 Electronic Acceptance
By creating an Account, purchasing a subscription, clicking an "I Agree" button, or otherwise accessing the Platform, you acknowledge that your electronic acceptance constitutes your legal agreement to these Terms.
